1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and Mohd Kaif Ansari ("Keanso", "we", "us"). By creating an account, accessing keanso.in, or using any Keanso feature, including the Wall of Shame, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Keanso.
If you are using Keanso on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" refers to that business as well as you personally.
2. What Keanso is
Keanso is software that helps freelancers and small businesses track invoices and send automated follow-up reminders to their own clients. Keanso also operates the Wall of Shame, a public, anonymized community feature described in Section 6. Keanso is a communications and record-keeping tool. It does not process payments, hold funds, or guarantee that any invoice will be paid.
3. Eligibility & your account
- You must be at least 18 years old and capable of forming a binding contract to use Keanso.
- You are responsible for the accuracy of the information you provide when creating an account, and for keeping your login credentials confidential.
- You are responsible for all activity that happens under your account, whether or not you personally performed it.
- Notify us immediately at support@keanso.in if you suspect unauthorized access to your account.
4. Your responsibilities
You are solely responsible for:
- The accuracy of every invoice, client record, amount, due date, and reminder you create in Keanso.
- Having a lawful basis and, where required, consent to store and process your clients' personal data inside Keanso (see Section 8).
- Any dispute, over-billing, or incorrect claim that arises from data you entered.
- Complying with applicable law in your own jurisdiction when collecting debts or sending payment reminders, including any local debt-collection or fair-practice regulations that may apply to you.
Keanso is a tool. We do not review, verify, or take responsibility for the content of invoices, reminder emails, or Wall of Shame submissions created by users.
5. Acceptable use
You agree not to use Keanso to:
- Send harassing, threatening, defamatory, or knowingly false communications to any person.
- Impersonate any person or misrepresent your affiliation with any business.
- Upload data you do not have the right to upload, or that infringes another party's rights.
- Attempt to access another user's account or data, or interfere with the security or operation of the service.
- Use the service for any unlawful purpose, including in violation of the Information Technology Act, 2000 or any other applicable Indian or foreign law.
We may suspend or terminate accounts that violate this section, with or without notice, at our discretion.
6. The Wall of Shame
The Wall of Shame lets users publicly share anonymized stories about unpaid invoices. By submitting a receipt to the Wall, you represent and warrant that:
- The submission relates to your own invoice, and every detail (amount, days overdue, description) is accurate to the best of your knowledge.
- You will not include any real name, company name, handle, email address, phone number, or other information that could identify a specific person or business, whether yours or your client's.
- You grant Keanso a worldwide, royalty-free, non-exclusive license to display, reformat, and distribute your submission (including on social media) for as long as it remains published.
We moderate submissions before they go public and reserve the right to reject, edit for identifying information, or remove any submission at our sole discretion and without notice, including in response to a report submitted through the Wall's report feature. Submissions are not a statement of fact by Keanso; they are unverified, user-generated content, and Keanso disclaims all responsibility for their accuracy.
If a submission has expired or been removed, any personal or attestation data tied to it is retained only as long as described in our Privacy Policy.
7. Keanso is not a debt collector
Keanso is not a licensed debt collection agency, a credit reporting agency, or a party to any transaction between you and your client. Any reminder, follow-up, or "final notice" email sent through Keanso is sent by you, as your own communication to your own client, using tools we provide. We do not guarantee that any communication will result in payment, and we are not responsible for how a client responds to, or the legal consequences of, any message you choose to send through the platform. If your use of Keanso to pursue payment from a client would legally qualify you as a debt collector under applicable law, you are responsible for complying with those obligations yourself.
8. Data about your clients
When you add a client to Keanso, you are providing us with that person's personal data (name, email, sometimes phone number) as a processor acting on your instructions. You confirm that you have the right under applicable data protection law, including India's Digital Personal Data Protection Act, 2023 where it applies to you, to share that data with us and to have us send communications to that person on your behalf. You are the data fiduciary for that information; Keanso processes it only to provide the service to you.
9. Fees
Keanso is currently offered free of charge. If we introduce paid plans, pricing, billing terms, and any applicable refund policy will be presented to you before you are charged, and separate terms may apply to paid features.
10. Intellectual property
Keanso and its logo, design, and underlying software are owned by Mohd Kaif Ansari and protected by applicable intellectual property law. These Terms do not grant you any right to our trademarks, branding, or source code. You retain ownership of the data you enter into Keanso (client records, invoice details), subject to the license you grant us in Section 6 for Wall of Shame submissions.
11. Third-party services we rely on
Keanso is built on infrastructure operated by third parties, including Google Firebase/Google Cloud (authentication and data storage) and Resend (email delivery). These providers process data on our behalf under their own security and data-protection commitments. We are not responsible for outages or failures originating from these providers, though we will make reasonable efforts to keep the service available.
12. No warranty
Keanso is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any email reminder will be delivered or read.
13. Limitation of liability
To the maximum extent permitted by law, Mohd Kaif Ansari will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of Keanso, including any unpaid invoice, any client's reaction to a reminder or Wall submission, or any Wall of Shame content. Our total aggregate liability for any claim arising from these Terms or the service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) the amount permitted under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Mohd Kaif Ansari and its personnel from any claim, damage, or expense (including reasonable legal fees) arising from: your use of the service; data you submit, including Wall of Shame submissions; your violation of these Terms; or your violation of any law or third party's rights, including your client's data protection rights.
15. Suspension & termination
You may stop using Keanso and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or if we discontinue the service. Sections that by their nature should survive termination (including Sections 12–14) will survive.
16. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Keanso will be subject to the jurisdiction of the courts of India.
17. Privacy & complaints contact
For privacy questions, data requests, or complaints about Keanso or Wall of Shame content, contact us at privacy@keanso.in. You may also use the in-product report link for Wall of Shame content.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or in-product notice. Continuing to use Keanso after a change takes effect means you accept the updated Terms.
